U.S. State Addendum

Dear Electronic Signature Recipient,

This US State Addendum (“Addendum”) forms part of the Zendesk Customer Agreement (the “ZCA”) entered into by and between Customer and Zendesk, Inc., pursuant to which Customer has purchased a subscription to Zendesk’s products and services (“Services”, as described at www.zendesk.com).

The purpose of this Addendum is to reflect the parties’ agreement with regard to the processing of personal data, in accordance with the requirements of Applicable US State Data Protection Law. This Addendum has been pre-signed on behalf of Zendesk.

In the course of providing the Services to Customer pursuant to the ZCA, Zendesk may process personal data on behalf of Customer and the parties agree to comply with the Addendum with respect to any personal information, each acting reasonably and in good faith.

How This Addendum Applies:

  • If the Customer entity signing this Addendum is a party to the ZCA, this Addendum forms part of the ZCA. In such case, the Zendesk entity that is a party to the ZCA is a party to this Addendum.

  • If the Customer entity signing this Addendum has executed an Order Form with Zendesk or its Affiliate pursuant to the ZCA, but is not itself a party to the ZCA, this Addendum is an addendum to that Order Form and applicable renewal Order Forms, and the Zendesk entity that is a party to such Order Form is a party to this Addendum.

  • If the Customer entity signing this Addendum is neither a party to an Order Form nor the ZCA, this Addendum is not valid and is not legally binding. Such Customer entity should request that the Customer entity who is a party to the ZCA execute this Addendum.

  • If the Customer entity signing the Addendum is not a party to an Order Form directly with Zendesk, but instead purchases Zendesk Services via an authorized reseller of Zendesk Services and is subject to the ZCA (or the Reseller Subscription Services Agreement), this Addendum is valid and legally binding.

This Addendum shall not replace any comparable or additional rights relating to the processing of Service Data contained in the ZCA.
